These terms and conditions (“Agreement”) govern the installation, service, and use of security systems provided by Foxtron Security (“Provider”) for the client (“Client”).
Foxtron Security will install, configure, and maintain security equipment and related services as outlined in the approved project proposal. All system components, service coverage, and features are described in the accompanying proposal and documentation.
This Agreement remains valid for 12 months starting from the date of system activation. It will renew automatically each year unless either party provides written notice at least 30 days before the end of the current term. Either party may also cancel the agreement with 60 days’ written notice.
The Client agrees to the following terms:
Installation: A 50% down payment is required upon contract signing. The remaining balance is due within 30 days of substantial project completion.
Annual Services: Monitoring or maintenance fees are billed annually in advance, starting from the activation date.
All other billing terms, if any, will be outlined in the project proposal.
Foxtron Security’s systems are designed to reduce certain risks but do not eliminate them. The Client acknowledges that:
Foxtron Security is not an insurer and does not guarantee loss prevention.
The Client is responsible for securing appropriate insurance coverage.
Any potential liability on the part of Foxtron Security will be limited to 50% of the annual service fee associated with the affected premises. This limit serves as liquidated damages.
Foxtron Security is not liable for third-party losses, failures by emergency responders, or damages resulting from interrupted services beyond our control.
The Client agrees to:
Provide reliable power sources and internet or phone line access, where applicable.
Avoid tampering with or modifying installed equipment.
Maintain updated emergency contact information if central monitoring is included.
Perform regular system checks and promptly report issues.
Allow reasonable access for service visits or inspections.
Cover the cost of repairs caused by external events (e.g., fire, flooding, tampering).
Foxtron Security is not responsible for delays or service disruptions caused by events outside of its control, such as natural disasters, strikes, or outages. Efforts will be made to notify the Client of any major interruptions and to restore service as quickly as possible.
The Client is responsible for:
Local taxes, permit fees, or other government-imposed charges.
Additional charges resulting from false alarms or excessive service calls.
Line charges or telecom fees related to system connectivity.
Extra charges for work requested outside normal business hours or requiring third-party labor.
Costs related to regulatory changes or required system modifications.
Foxtron Security may revise service fees after the first year. The Client may cancel the agreement within 15 days of receiving notice of a rate increase.
If the Client fails to meet payment deadlines or other obligations:
Interest may be applied to overdue balances.
Legal, collection, or recovery fees will be added to the Client’s outstanding balance.
All unpaid amounts for the remainder of the term may become due immediately.
Access must be granted for system deactivation or removal if necessary.
Equipment remains the property of Foxtron Security until full payment is made.
Foxtron Security provides no guarantees, express or implied, that:
The system cannot be bypassed or disabled.
All threats will be detected or prevented.
The system is suited to any specific use beyond what is stated in the proposal.
All claims related to installation issues must be submitted in writing within 30 days of completion.
This Agreement may be terminated:
By either party in accordance with Section 2 (Renewal) or in the event of property damage that makes continued service impractical.
By Foxtron Security with 30 days’ notice due to non-payment, breach of contract, or inability to continue service due to external conditions.
By the Client due to lease termination, major damage to premises, or following a service fee increase (with proper notice).
Neither party may transfer this Agreement without giving at least 30 days’ written notice. The receiving party must approve the transfer or may opt to terminate the agreement.
This document, along with the attached proposal and any signed addenda, reflects the full understanding between the Client and Foxtron Security. No verbal or prior agreements will apply unless documented and signed by both parties.
